Commercial terms to cover in the lease (separate contract)

Not website copy - a checklist to brief counsel on the actual customer agreement.

  • Lease scope, term, renewal, and fees (and what "all-in" includes).
  • Hardware ownership, risk, insurance, return condition.
  • Service levels: setup, support, maintenance, uptime, response times.
  • Usage allowances (conversation minutes), overage handling, idle-loop behaviour.
  • Content & character approval, change requests, persona-swap process.
  • IP, likeness & consent: rights to characters; client warranties on any likeness/voice they supply; consent records for living individuals and executive twins; acceptable-use restrictions (no impersonation/deception).
  • Data protection / DPA, sub-processors (incl. Anam), security.
  • Pilot terms and credit-back mechanics.
  • Liability, indemnities, termination, force majeure.
